The Short Version — What You're Agreeing To
The agreement: By using ShiftMedix, your organization agrees to these Terms. The person signing up represents that they have authority to bind the organization.
What we provide: A cloud-based scheduling platform for healthcare teams — not medical advice, not clinical tools, and not a HIPAA business associate agreement (for provider scheduling data).
Your responsibilities: Keep your account secure, use the platform lawfully, and ensure your team only inputs accurate scheduling data.
Our responsibilities: Keep the platform running, secure your data, and give you notice before any significant changes.
Cancellation: Either party can end the agreement. You keep your data for 90 days after cancellation — then it's deleted.
Governing law: These Terms are governed by the laws of North Carolina, United States.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between ShiftMedix, Inc. ("ShiftMedix," "we," or "us") and the organization ("Customer," "you") and its authorized users who access or use the ShiftMedix platform (the "Service").

By creating an account, clicking "I agree," or otherwise accessing the Service, you confirm that:

  • You have read, understood, and agree to be bound by these Terms
  • You have the legal authority to enter into this agreement on behalf of your organization
  • Your organization and its users will comply with all applicable laws and regulations when using the Service
If you do not agree: Do not use the Service. Contact us at info@shiftmedix.com to discuss your concerns before proceeding.

2. Description of Service

ShiftMedix is a cloud-based software-as-a-service (SaaS) platform that enables healthcare organizations to automate provider scheduling, track shift fairness, manage swap requests and leave, and provide providers with self-service mobile access to their schedules.

What the Service is
A scheduling and workforce management tool for healthcare teams. It handles duty assignment, swap workflows, leave management, coverage gap detection, and fairness analytics for provider groups.
What the Service is not
ShiftMedix is not a clinical tool, an electronic health record (EHR), a medical device, or a source of medical advice. It does not manage patient data, clinical documentation, or billing. Nothing in the platform constitutes medical, legal, or compliance advice.
Availability
We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance. We are not liable for downtime beyond the service level commitments stated in your subscription agreement.

3. Accounts & Access

Access to ShiftMedix requires an active account administered by your organization.

Account administrators
Your organization designates one or more administrators who control user access, scheduling rules, and platform configuration. Administrators are responsible for the actions of all users under their account.
Account security
You are responsible for maintaining the confidentiality of all login credentials. You must notify us immediately at info@shiftmedix.com if you suspect unauthorized access to your account. ShiftMedix is not liable for losses caused by unauthorized access resulting from your failure to secure credentials.
Accurate information
You agree to provide accurate, current, and complete account information. Provider profiles (names, qualifications, contact details) must reflect reality — incorrect configurations that result in scheduling errors are your organization's responsibility.
User count
Your subscription tier defines the number of active providers and admin accounts permitted. Exceeding this limit requires an upgrade. We will notify you before restricting access.

4. Acceptable Use

You agree to use the Service only for its intended purpose — scheduling and workforce management for your healthcare team. The following are prohibited:

  • Using the platform for any unlawful purpose or in violation of any applicable regulation
  • Attempting to reverse-engineer, decompile, or extract the source code of the platform
  • Uploading malicious code, viruses, or any material that could damage the platform or other users
  • Circumventing or attempting to circumvent authentication, access controls, or security features
  • Reselling, sublicensing, or providing access to the Service to third parties without our written consent
  • Using the platform to collect, process, or store patient health information (PHI) or any data not related to provider scheduling
  • Scraping, bulk-exporting, or systematically extracting platform data by automated means
  • Impersonating another user, provider, or ShiftMedix personnel

Violation of acceptable use may result in immediate suspension or termination of your account. We reserve the right to investigate suspected violations and cooperate with law enforcement where appropriate.

5. Data Ownership & Privacy

Your data is yours: All scheduling data, provider records, and organizational configurations you input into ShiftMedix remain your property. We do not claim ownership of your data.

By using the Service, you grant ShiftMedix a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the Service to you. This license ends when you terminate your account (subject to the retention period described in our Privacy Policy).

Data processing
We process your data as described in our Privacy Policy, which is incorporated by reference into these Terms. If you require a Data Processing Agreement (DPA) for GDPR or other regulatory compliance purposes, contact us at info@shiftmedix.com.
No sale of data
We do not sell, rent, or trade your data or your providers' personal information to any third party. Ever. This commitment is absolute.
Data export
You may export your scheduling data at any time through the platform's export features. Upon termination, we will make your data available for export for 90 days, after which it is securely deleted.

6. Intellectual Property

ShiftMedix and its licensors retain all rights, title, and interest in and to the Service, including all software, algorithms, designs, trademarks, logos, and documentation ("ShiftMedix IP"). These Terms do not grant you any ownership rights in ShiftMedix IP.

The ShiftMedix name, logo, and any product or feature names are trademarks of ShiftMedix, Inc. You may not use them without our prior written consent.

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an irrevocable, royalty-free license to use that Feedback to improve the platform. We will not identify you as the source of the Feedback without your consent.

7. Payment & Subscription

Subscription fees
Access to ShiftMedix requires a paid subscription. Fees are described in your order form or subscription agreement. All fees are in US dollars unless otherwise specified.
Billing cycle
Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected) unless you cancel before the renewal date.
No refunds
All fees are non-refundable except where required by applicable law or as explicitly stated in your subscription agreement. If you cancel mid-cycle, you will retain access through the end of the paid period.
Price changes
We will provide at least 60 days' written notice before increasing subscription fees. Continued use after that date constitutes acceptance of the new pricing.
Taxes
You are responsible for all applicable taxes, duties, and levies associated with your subscription, excluding taxes on ShiftMedix's net income.

8. Term & Termination

These Terms begin on the date your account is created and continue until terminated by either party.

Termination by you
You may cancel your subscription at any time by contacting us at info@shiftmedix.com or through your account settings. Cancellation takes effect at the end of the current billing period.
Termination by us
We may suspend or terminate your account immediately if: (a) you materially breach these Terms and fail to cure the breach within 15 days of written notice; (b) you engage in prohibited activities; or (c) we are required to do so by law.
Effect of termination
Upon termination, your access to the Service ceases. We will make your data available for export for 90 days, after which it will be permanently deleted. Sections on IP, liability, indemnification, and governing law survive termination.

9. Disclaimers & Limitation of Liability

Important — Please Read Carefully

As-is warranty disclaimer: The Service is provided "as is" and "as available." ShiftMedix makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or meet your specific requirements.

No liability for scheduling decisions: ShiftMedix is a scheduling tool. You remain solely responsible for all clinical, operational, and staffing decisions made by your organization. We are not liable for any harm resulting from scheduling decisions made using the platform, coverage gaps you failed to configure for, or data errors introduced by your users.

Limitation of liability: To the maximum extent permitted by applicable law, ShiftMedix's total cumulative liability for any claims arising from or related to these Terms or the Service shall not exceed the fees you paid in the three (3) months preceding the claim.

Exclusion of consequential damages: In no event shall ShiftMedix be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — even if advised of the possibility of such damages. Some jurisdictions do not allow these exclusions; in those cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless ShiftMedix, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your organization's use of the Service in a manner not authorized by these Terms
  • Any content or data you submit to the platform that infringes a third party's rights
  • Your violation of any applicable law or regulation

11. Governing Law & Disputes

Governing law
These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles.
Informal resolution first
Before initiating any formal dispute, you agree to contact us at info@shiftmedix.com and give us 30 days to attempt an informal resolution. Most issues are resolved this way.
Venue
If informal resolution fails, disputes shall be resolved in the state or federal courts located in Wake County, North Carolina. Both parties consent to personal jurisdiction in those courts.
International users
If you are located outside the United States, you consent to having your dispute resolved under North Carolina law and in North Carolina courts, to the extent permitted by your local law. Additional consumer protections may apply in your jurisdiction and are not waived by these Terms.

12. General Provisions

Entire agreement
These Terms, together with our Privacy Policy and any applicable order form or subscription agreement, constitute the entire agreement between you and ShiftMedix regarding the Service and supersede all prior agreements.
Modifications
We may update these Terms from time to time. We will provide at least 30 days' written notice of material changes. Continued use after the effective date constitutes acceptance.
Severability
If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.
Waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right. Waivers must be in writing to be effective.
Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
Force majeure
Neither party is liable for failure to perform obligations due to causes beyond their reasonable control, including natural disasters, government actions, pandemics, or infrastructure failures.
